Assistant Manager, Corporate Secretariat (Far East Orchard)
Responsibilities
Provide corporate secretarial support to the listed entity & its group of companies (local and overseas including joint ventures) on a variety of matters, including:
- Preparation and logistics for AGM/EGM and Board and Board Committee Meetings, including coordinating dry-runs, meeting papers and actual meetings
- Draft meeting minutes (local companies) and review meeting minutes (overseas companies)
- Attend (online), quarterly overseas board meetings of subsidiaries
- Draft and review Board and Shareholder Resolutions
- Coordinate with the Board and Board Committees on approval of papers/resolutions
- Release SGX announcements
- Procure compliance with SGX Listing Manual, Companies Act and relevant regulations
- Liaise with and supervise overseas corporate secretarial agents and external service providers (such as e-polling, share registration, overseas filings)
- Assist with certain sections of the Annual Report
- Assist with scrip dividends documentation
- Assist with filings and annual returns
- Liaise with external auditors for statutory audits
Requirements
- Minimum 4 years of corporate secretarial experience
- Currently in Executive or Assistant Manager position
- Meticulous, diligent, neat and responsible
- Good command of English (spoken and written)
- Familiarity with SGX Listing Manual and Companies Act
- ICSA qualified chartered secretary, or is pursuing such ICSA qualification, or holds a law degree or a diploma in law – would be advantageous
